1.1 These are the terms and conditions (the "Terms") which govern your use of the Issuance Services, Tevau Pay Card, Digital Wallet, Issuer's App, and the services, technology platform associated therewith (hereinafter collectively referred to as "SERVICES"), which are provided to you by Tevau Technology Limited, a limited liability company incorporated in Hong Kong (hereinafter referred to as "Issuer", "Tevau", "We", or "us").
1.2 Please read and understand these Terms before using these SERVICES, so that you are aware of your legal rights and obligations. By completing the registration process and/or using the SERVICES, you shall be deemed to have expressly read, understood, and agreed to be bound by these Terms.
In these Terms, as well as other related terms, agreements, policy and rules, the following words shall have the meaning and/or understanding as set forth below:
"App" means the mobile application software owned and released by Issuer, and available for download for Android or Apple IOS, including all content and services made available on or through the same, and any and all updates, upgrades, supplements, releases and versions thereof.
"Account" means the account established in respect of the SERVICES provided by Issuer for the purpose of recording Transactions and other items.
"Applicable Law" means any applicable common and civil law, principles of equity, and laws made by any government, relevant authority, or judicial body, including but not limited to any regulations, rules, court judgments, decrees, directives, policies, circulars, codes, guidelines or any other instruments (whether they have the force of law or not), and any amendments, replacements, modifications, consolidations, or re-enactments of any of the aforementioned.
"Issuance Services" means the card issuance services provided by Issuer or its Partner, which enable the issuance of the Tevau Pay Card under the relevant Card Network.
"Card Network" means any international credit, debit and/or prepaid card network which is applicable in respect of your Tevau Pay Card.
"Card Network Rules" means the by-laws, rules, regulations, orders, requirements and interpretations issued by the Card Network or otherwise communicated to us and which are applicable to the acceptance of Card Transactions, as amended from time to time by the Card Network.
"Digital Wallet" means the digital wallet provided and hosted by the Issuer or Custodian which allows a user to store the types of virtual assets that have been approved by Issuer.
"Custodian" means a third-party entity designated and appointed by Issuer to provide secure Digital Wallet services for the holding and management of virtual assets. The Issuer may select, evaluate, and if necessary, change the Custodian from time to time at its sole discretion.
"Authorized Device" means the mobile communications or other device successfully registered by you for use in connection with the App and Services.
"Fees" means all applicable fees and charges imposed by Issuer, the relevant services provider, the Custodian, the Card Network and/or otherwise in relation to the use of the Services.
"Merchant" means a retailer, merchant or other supplier of goods and/or services which accepts payment by means of a card, card number, PIN or card and signature.
"PIN" means such code or number that is used for the purpose of identification when you give any instruction or conduct any transaction with your Tevau Pay Card or when you access any other SERVICES.
"Tevau Pay Card" means Tevau Pay credit card or debit card, available as either a virtual or physical card, which is provided to you by Issuer, allowing for transactions.
3.1 You acknowledge and agree that, in connection with your use of the App, you shall at your own cost:
(i) obtain all necessary hardware, software and communications services necessary for your use of the App;
(ii) install antivirus or other mobile security software on your Authorized Device to protect against any security or other vulnerabilities which may arise in connection with your use of the App; and
(iii) install updates and patches for the App and your Authorized Device in a prompt and timely manner.
3.2 Without prejudice to the foregoing and any other terms, you shall be solely responsible and liable for all access to and use of the App and SERVICES through your Authorized Device, notwithstanding that such access may have been effected without your knowledge, authority or consent. The Issuer shall not be liable to you for any loss or damage resulting from such use.
4.1 By registering and/or using the SERVICES, you represent and warrant that:
(i) you have read, understood and agreed to our Privacy Policy;
(ii) you are at least 18 years old, or the minimum age required under the relevant Applicable Laws for using the SERVICES, and have not previously been suspended, banned from the Services, nor prohibited by any Applicable Laws;
(iii) you have full civil rights and capacity, are able to independently bear legal responsibilities, and have all necessary power and authority to enter into these Terms; and
(iv) you are not impersonating any other person, operating under an alias or otherwise concealing your identity.
4.2 In addition to the above, you shall ensure all information provided is always accurate and up to date. We may confidentially verify your information, and we are entitled, in our sole discretion, to refuse your application for or to suspend, terminate or limit your use of the SERVICES.
4.3 Prohibition of Third-Party Account Opening. You must register and open your Account in person. It is strictly prohibited for any third party, including but not limited to any agent, intermediary, representative, or other person, to open, register, or apply for an Account on your behalf. Without limiting the generality of the foregoing:
(i) you must personally complete all identity verification (KYC) procedures, including providing your own Personal Data, identification documents, and biometric information (where applicable);
(ii) no person shall use another individual's Personal Data, identification documents, or any other information to open or attempt to open an Account without that individual personally participating in the registration and verification process;
(iii) any agent, intermediary, or other third party is expressly prohibited from creating Accounts, submitting applications, or completing identity verification on behalf of any prospective or existing user.
4.4 Ongoing Verification. The Issuer reserves the right to conduct ongoing identity verification at any time during the term of your Account, including but not limited to:
(i) requiring you to re-submit identification documents or provide additional Personal Data;
(ii) requiring you to complete real-time identity verification through video call, biometric authentication, or other means as the Issuer may determine;
(iii) cross-referencing your Account activity, login records, device information, and behavioral patterns against the identity information on file to detect any anomalies or inconsistencies;
(iv) requesting you to confirm your identity in person at a designated location if the Issuer considers it necessary.
You shall cooperate with any such verification requests promptly. Failure to comply with a verification request within the timeframe specified by the Issuer shall constitute grounds for Account restriction or suspension.
4.5 Consequences of Third-Party Account Opening. Where the Issuer detects or reasonably suspects that an Account has been opened, registered, or is being operated by a third party in violation of these Terms, the Issuer shall be entitled, at its sole discretion and without prior notice, to take any one or more of the following actions:
(i) immediately suspend or restrict the Account and all associated SERVICES;
(ii) freeze any funds, digital assets, or balances held in the Account or Digital Wallet pending investigation;
(iii) terminate the Account permanently and cancel all related Tevau Pay Cards and SERVICES;
(iv) refuse to process any pending or future Transactions;
(v) report the matter to the relevant regulatory, law enforcement, or judicial authorities in any applicable jurisdiction;
(vi) retain all Personal Data and Transaction records related to the suspected violation for the purpose of investigation, legal proceedings, or regulatory compliance;
(vii) pursue legal action against any person involved in the third-party account opening, including claims for damages, losses, and costs incurred by the Issuer.
The Account holder shall be solely responsible for any and all losses, liabilities, claims, penalties, or legal consequences arising from any third-party account opening or operation conducted in violation of this provision. The Issuer shall not be liable for any losses resulting from the exercise of its rights under this section.
5.1 Through the website and/or App, you may access the SERVICES, including but not limited to:
(i) Digital Wallet: to which you may deposit or from which you may withdraw multiple Supported Tokens. The Issuer and/or Custodian will manage the virtual assets held in the Digital Wallet on your behalf and in accordance with these Terms.
(ii) Issuance Services: you may apply for Tevau Pay Cards with a "physical" Card, or a "virtual" Card. Should the relevant card scheme and/or programme allow, you may use the Card to enter into the following transactions (hereinafter referred to as "Transactions"):
purchasing goods and/or services from Merchants affiliated with the card scheme on your Card;
making cash withdrawals from automatic teller machines ("ATM").
(iii) top-up money to your Tevau Pay Cards.
(iv) change the settings associated with your Tevau Pay Cards, e.g. setting and changing your Tevau Pay Card PIN number, disabled, enabled or blocked your Tevau Pay Cards;
(v) view the Transactions history of your Digital Wallet and Tevau Pay Cards. Statements. No paper statements will be provided by the Issuer.
5.2 You acknowledge and agree that the virtual assets in the Digital Wallet will be managed by Tevau and/or Custodian, to ensure the proper functions of the Tevau Pay Cards, for security purposes and/or for compliance with Applicable Law.
5.3 The Issuer makes no guarantee that specific services, features, components, or content will always be available, and it may update, modify, suspend, or restrict access to, or discontinue any part or all of the SERVICES, without notice or liability to you.
6.1 In order to start using the Tevau Pay Card, you may be required to activate it through the App.
6.2 Unless earlier terminated, each Tevau Pay Card will be valid for the period as may be determined by the Issuer and as indicated on the App. You shall keep your Physical Card and the details of the Virtual Card (as applicable) in a safe place and protect it against unauthorized access or use by third parties.
6.3 You shall not use your Tevau Pay Card in relation to any transaction or activity which is illegal or prohibited under Applicable Laws.
6.4 You shall be liable for all Transactions whether or not executed with your knowledge or authority, regardless of how such transactions were effected, including without limitation where arising in connection with your negligence.
6.5 You shall promptly notify us without undue delay upon discovering that there has been any:
(i) your Authorized Device and/or Tevau Pay Card has been or potentially has been lost, stolen or misappropriated;
(ii) inappropriate or unauthorized Transactions relating to your Tevau Pay Card.
(iii) inappropriate or unauthorized disclosure of and/or use of your PIN and/or any of the card data; and/or
(iv) inappropriate or unauthorized access to and/or use of your Account, SERVICES effected using your PIN and/or any of your card data.
6.6 You shall promptly take such steps as may be specified by us in relation to the foregoing matters (including to change your PIN).
7.1 You shall contact us at [support@Tevau.io] without undue delay in the event of any dispute regarding the validity of any card Transaction or request for Chargeback no later than 60 days after the transaction date in respect of a dispute to be reviewed and raised. We will assist you in resolution of the dispute or direct such request to the Merchant or the relevant Card Network for processing.
7.2 You may be required to provide information and/or supporting documents that the Issuer and/or the relevant Card Network may require, including but not limited to furnishing a written explanation of the dispute or Chargeback request and/or a copy of the related sales transaction receipt.
7.3 You may charge your money back only when it is proved on your benefit after investigation. You agree that the decisions of the Issuer and/or the relevant Card Network on all matters relating to or in connection with such dispute or Chargeback request is final and conclusive and binding on you.
7.4 Any fees imposed by the Issuer and/or the relevant Card Network for the processing of such dispute or Chargeback request may be deducted from the Digital Wallet Balance or claimed from you and shall not be refundable.
7.5 In any event, you acknowledge and agree that the Issuer and the relevant Card Network shall not be liable to you in respect of any matter relating to or arising out of such dispute or Chargeback request.
8.1 Your virtual assets deposited in the Digital Wallet are held in custody by us or a third-party Custodian. By using the Digital Wallet, you confirm that you understand the inherent risks, including but not limited to:
(i) system risks: risks related to the operation and security of the Digital Wallet systems and platforms;
(ii) market risks: risks arising from the volatile nature of virtual currencies and their fluctuating market values;
(iii) regulatory risks: risks associated with changing regulations and legal compliance of the Digital Wallet Service;
(iv) security risks: risks related to the potential loss or theft of virtual assets due to cyberattacks or breaches by the Custodian; and
(v) operational risks: risks arising from operational failures, errors, or disruptions in the Digital Wallet.
8.2 The Issuer and its affiliates are not liable to you or any other person in respect of any losses, damages or liabilities associated with your Digital Wallet or any virtual assets held therein or otherwise caused by or attributable to the actions or omissions of the Custodian.
8.3 Your Digital Wallet comprises individual vault accounts designated for respective users for the purpose of initial storage of the approved virtual assets. Subsequently, all such virtual assets of different users will be swept into a ring-fenced, pooled, centralized omnibus vault account.
8.4 No interest will be paid for virtual assets maintained in the Digital Wallet. Should the Issuer decide to change the Custodian, you authorize the Issuer to transfer all the virtual assets held in the Digital Wallet to the new Custodian.
8.5 The Digital Wallet is not a deposit account and the virtual assets held therein are not qualified for protection by the Deposit Protection Scheme (as referred to in the Deposit Protection Scheme Ordinance (Cap. 581 of the Laws of Hong Kong) in Hong Kong.
9.1 The Digital Wallet only accepts Supported Tokens as valid forms of virtual assets for top-ups. You are responsible for ensuring that you only send Supported Tokens to the Digital Wallet. Any assets sent to the Digital Wallet that are not Supported Tokens may be irretrievably lost.
9.2 You hereby represent and warrant that all virtual assets used to top-up your Digital Wallet are legally and beneficially owned by you, and are not subject to any liens, encumbrances or legal disputes. You also affirm that these assets are not derived from, nor connected with, any unlawful activities.
9.3 Each of the Issuer and the Custodian has the right to conduct thorough know your customer (KYC) checks, know your transaction (KYT) checks, anti-money laundering (AML) checks and other due diligence checks on all virtual assets and transactions associated with your Digital Wallet.
10.1 You may from time to time withdraw your virtual assets from your Digital Wallet to the extent they are not frozen or otherwise subject to any restriction on withdrawal in accordance with these Terms.
10.2 You are responsible for ensuring the accuracy of the destination Digital Wallet address. The Issuer and the Custodian shall not be liable to you or any other person in respect of any losses, damages or liabilities incurred as a result of any inaccurate or incompatible withdrawal addresses.
10.3 You will be responsible for any network fees or other charges applicable to any withdrawal or transfer of virtual assets from your Digital Wallet. Such fees or charges may be deducted from your Account at the time of such withdrawal or transfer or may otherwise be charged to you separately.
10.4 Each of the Issuer and the Custodian shall be entitled to decline any withdrawal or transfer request for any reason whatsoever, including without limitation, for compliance with Applicable Laws.
10.5 Withdrawals and transfers from the Digital Wallet will be subject to such applicable withdrawal or transfer limits as may be set by the Issuer and/or the Custodian from time to time at their sole discretion.
11.1 If your Tevau Pay Card is a credit card, the card transactions made on this credit card will be settled by the Issuer. You authorize the Issuer to freeze your Digital Wallet with the amount of each Card Transaction and any relevant Fees for this purpose, together with any buffer as further described on the App and the website as may be applicable at the Issuer's sole discretion at the time of the relevant Card Transactions.
11.2 When you top-up money into or settle your Tevau Pay Card, you authorize the Issuer to convert (where applicable) and deduct the virtual assets ("Settlement Assets") from your Digital Wallet into any stablecoins or fiat currencies ("Converted Assets") at the discretion of the Issuer, with reference to the prevailing market exchange rate between the Settlement Assets and the relevant Converted Assets at the time of such conversion as may be applied at the discretion of the Issuer.
12.1 Your use of the SERVICES may be subject to certain Fees, which will, if applicable, be debited from your Digital Wallet Balance, deducted at the settlement of your Card Balances or otherwise charged to you separately. You undertake to settle any outstanding Fees immediately upon request, failing which we may suspend or limit your use of the SERVICES.
12.2 The Issuer may in its sole discretion introduce additional Fees or otherwise adjust or update the Fees from time to time. All applicable Fees are exclusive of any applicable taxes and the actual Fee charged will be increased to account for any such applicable taxes.
12.3 All Fees paid shall be non-refundable.
13.1 You agree to comply with all Applicable Laws. When using our SERVICES, you acknowledge that your actions are in a legal and proper manner and the digital assets top-up to the Wallet are not from illegal activities. We may at our discretion or in coordination with local law enforcement authorities seize, restrict or close your account, fiat currency and digital assets as well as report you to any legal or government authority.
13.2 Compliance with KYC Principles and Anti-Money Laundering Regulations. You must pay special attention to your local anti-money laundering regulations. Failure to do so may place you and/or your assets at risk. We are committed to providing you with safe, compliant, and reputable SERVICES. Thus, we may also require a comprehensive and thorough due diligence review process as well as any implementation processes, ongoing analysis, and reporting. This may include but is not limited to monitoring for any suspicious Transactions as well as mandatory reporting to relevant local and international regulators. You agree to allow Issuer to collect certain information and documentation on file in order to adhere to Applicable Laws. Please note that this right will extend beyond termination of your relationship with Issuer, including the abandonment of your account and/or wallet or any other related applications.
14.1 While using the SERVICES, you agree and acknowledge the possibility of discontinuation and disruption of the SERVICES. You further acknowledge and agree that Issuer will not be liable for any Losses.
14.2 Issuer may change the SERVICES and may also interrupt, suspend or terminate the SERVICES at any time with or without prior notice.
14.3 The Issuer reserves the right, in its sole discretion, to discontinue or terminate any part or all of the SERVICES (including freezing or closing your Digital Wallet, refusing to process any card Transactions, or reversing any card Transaction that you have effected) without notice, temporarily and/or permanently, including but not limited to, the following cases:
(i) If the Personal Data you have provided is not true or inconsistent with the information at the time of registration;
(ii) If you violate Applicable Laws or these Terms;
(iii) If required by any provisions of Applicable Laws, as well as the requirements of relevant government authorities;
(iv) For security reasons or any other reasonably necessary circumstances;
(v) where the Issuer suspects that a transaction effected by you is potentially connected to any unlawful activities (including but not limited to money laundering, terrorism financing and fraudulent activities).
14.4 You shall not be entitled to any payment, compensation or damages from us in relation to any suspension or termination of your use of the SERVICES, for any reason whatsoever, and it shall not release you from any liability or responsibility on your part, which at the time of such suspension or termination, has already accrued.
15.1 EXCEPT AS EXPRESSLY PROVIDED IN THESE TERMS, TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL OTHER REPRESENTATIONS OR WARRANTIES, EXPRESS OR IMPLIED, MADE TO YOU, YOUR AFFILIATES OR ANY OTHER PERSON, INCLUDING WITHOUT LIMITATION, ANY WARRANTIES REGARDING QUALITY, SUITABILITY, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR OTHERWISE (REGARDLESS OF ANY COURSE OF DEALING, CUSTOM OR USAGE OF TRADE) OF ANY SERVICE OR ANY GOODS PROVIDED INCIDENTAL TO THE SERVICES PROVIDED UNDER THESE TERMS.
15.2 LIMITATION OF LIABILITY. ISSUER'S AGGREGATED LIABILITY IN CONNECTION WITH THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) $100 US DOLLARS OR (B) THE FEES ISSUER RECEIVED FROM YOU IN THE 12 MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.
15.3 EXCEPT AS OTHERWISE REQUIRED BY LAW, IN NO EVENT SHALL ISSUER, OUR AFFILIATES, DIRECTORS, MEMBERS, EMPLOYEES, OR AGENTS BE LIABLE FOR (1) ANY LOSSES OR DAMAGE OR CLAIMS DUE TO AN UNUSUAL OR UNFORESEEABLE EVENT, OUTSIDE THE REASONABLE CONTROL OF US AND THE CONSEQUENCES OF WHICH COULD NOT HAVE BEEN AVOIDED EVEN IF ALL DUE CARE HAD BEEN EXERCISED (INCLUDING BUT NOT LIMITED TO FORCE MAJEURE, EVENTS OF WAR OR CIVIL UNREST, NATURAL DISASTERS, STRIKE, LOCK-OUT, TRAFFIC DISRUPTION, ACTS OF DOMESTIC OR FOREIGN GOVERNMENTAL AUTHORITIES); (2) ANY LOSSES OR DAMAGE OR CLAIMS ARISING FROM OR IN CONNECTION WITH: (I) ANY DELAY, SUSPENSION, DISCONTINUANCE OR FAILURE OF THE APP OR SERVICES; (II) ANY REJECTION OF THE TEVAU PAY CARD; (III) ANY REFUSAL TO PROCESS OR AUTHORIZE ANY TRANSACTION FOR ANY REASON; (IV) YOUR INABILITY TO EFFECT OR COMPLETE ANY TRANSACTION DUE TO SYSTEM MAINTENANCE OR BREAKDOWN / NON-AVAILABILITY OF THE APP, NETWORK, OUR HARDWARE OR SOFTWARE OR THAT OF ANY THIRD PARTIES; (V) USE OF YOUR AUTHORIZED DEVICE AND THE SERVICES BY THIRD PARTIES, WHETHER AUTHORIZED OR UNAUTHORIZED BY YOU; (VI) ANY THEFT OR LOSS OF YOUR AUTHORIZED DEVICE; (VII) CAUSED BY US DUE TO COMPLIANCE WITH APPLICABLE LAWS, COURT ORDERS, AND/OR CARD NETWORK RULES (3) ANY SPECIAL, INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, INCLUDING BUT NOT LIMITED TO, LOSS OF USE, LOSS OF PROFITS OR LOSS OF DATA, WHETHER IN AN ACTION IN CONTRACT, TORT (INCLUDING BUT NOT LIMITED TO NEGLIGENCE), OR (4) ANY DAMAGES CAUSED BY OR RESULTING FROM RELIANCE BY ANY USER ON ANY INFORMATION OBTAINED FROM US. PLEASE NOTE THAT SOME JURISDICTIONS MAY NOT ALLOW THESE EXCLUSIONS OR LIMITATIONS OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, AND THUS, THESE PROVISIONS MAY NOT APPLY TO ALL USERS.
15.4 The Issuer shall not be liable for fault on the part of any third-party service providers instructed by us. In such cases, the Issuer's liability shall be limited to using reasonable care in the selection, appointment and instruction of such third-party service providers (but not of any sub-contractor or other third-party such third-party service provider may use).
You agree to indemnify and hold the Issuer, each of its affiliates and third party service providers, and each of their respective officers, directors, agents, employees and representatives, harmless from any claim or demand (including attorneys' fees and any fines, fees or penalties imposed by any regulatory authority) arising out of or related to (i) your breach of these Terms; (ii) your use of the App, the SERVICES; (iii) your violation of any rule or regulation, or the rights of any third-party; and (iv) any transactions resulted from your wilful default, fraud, gross negligence or breach of these Terms.
These Terms may from time to time be updated or amended. Such updated Terms as posted will take effect immediately upon posting on the App and the website. You should regularly check the App and the website to inform yourself of any such changes. By continuing to use the App, the Tevau Pay Card and/or the Digital Wallet, and any other SERVICES after any such changes have taken effect, you are indicating your acceptance of the updated or amended Terms.
You may only transfer your rights or your obligations under these Terms to another person if we agree to this in writing.
We may transfer our rights and obligations under these Terms to another organisation. We will always tell you in writing if this happens and we will ensure that the transfer will not affect your rights under these Terms.
If any provision of this Terms is deemed illegal or unenforceable, such illegality, invalidity or unenforceability shall not affect the legality, validity and enforceability of any other provision of this Terms, which shall be construed as if such illegal, invalid or unenforceable provision had not been included in this Terms, unless the severability of such illegal, invalid or unenforceable provision would destroy the underlying purposes of this Terms. Such provision will be changed and interpreted to accomplish the objectives of the provision to the greatest extent possible under any Applicable Laws.
20.1 This Terms shall constitute the entire agreement between you and Issuer regarding the matters herein, and supersedes all prior and contemporaneous agreements, proposals or representations, written or oral, concerning its subject matter.
20.2 These Terms are concluded in the English language and all communications including any notices or information being transmitted shall be in English. If these Terms or any part of it is translated (for any proceedings, for your convenience or otherwise) into any other language, the English language text of these Terms shall prevail.
No failure or delay by Issuer in exercising any rights under this Terms of any particular breach or default by you shall impair the right of the Issuer in respect of any other breach or default by you. No failure of Issuer to insist on strict compliance by you shall constitute a waiver of rights hereunder. Whenever the consent of Issuer is required under this Terms, the granting of such consent by Issuer in any one instance shall not constitute continuing consent to subsequent instances where such consent is required and in all cases such consent may be granted or withheld in the sole discretion of Issuer.
22.1 By using the SERVICES, you agree that the Issuer, its related corporations, third-party service providers, contractors or sub-contractors may provide you with any notices or other communications electronically: (a) via email (in each case to the address that you provide), SMS message, or telephone call (in each case to the phone number that you provide), or (b) by posting to the website. For notices made by email, the date of receipt will be deemed the date on which such notice is transmitted.
You acknowledge and agree that in the event of any dispute arising in connection with your use of the Services, our records (including electronic, computer and microfilm stored records) of all matters relating to your use of the SERVICES and/or of you (including Transaction History) at any specified date shall be conclusive of their accuracy and authenticity and shall be binding on you for all purposes whatsoever. In addition, you agree to the admissibility of such documents without further requirement of proof of authenticity or accuracy in a court of law under applicable evidentiary law, rules and/or regulations.
22.2 We prefer receiving notices to us electronically through our support system at [support@Tevau.io].
These Terms shall be governed by and construed in accordance with the laws of Hong Kong. The parties agree to submit all disputes arising out of or in connection with these Terms to the exclusive jurisdiction of the courts of Hong Kong.

The following terms and conditions ("Terms") are an agreement between you and Tevau Pay that governs your access to and use of your Tevau Pay Card through Apple Pay. By registering to add Tevau Pay Card for use in Apple Pay on your Apple Devices, or allowing another cardholder to add a Tevau Pay Card linked to your Card Account for use in Apple Pay on their Apple Devices, you agree that you have read, understood, and accepted all of the Terms contained herein and to use your Tevau Pay Card in accordance with these Terms. If you do not agree with any of the following Terms, you must cease all access to, or use of your Tevau Pay Card in connection with, Apple Pay and/or remove any Tevau Pay Card linked to your account from Apple Pay.
These Terms shall be read in conjunction and in addition with the Tevau Pay Card Program Account Agreement ("Agreement") associated with each Tevau Pay Card available on the Tevau Pay's website. It is important that you read these Terms and the Agreement together. In the event of any inconsistency between the provisions of these Terms and the Agreement relating to your access to or use of Tevau Pay through Apple Pay, the provisions of these Terms shall prevail.
You also acknowledge that your use of Apple Pay is subject to the terms and conditions set forth by Apple with respect to the use of Apple Pay, which will not change or override these Terms.
Apple Pay is available to Tevau Pay Card cardholders for the purposes of purchasing goods and services with an eligible Apple Device at near field communication ("NFC") enabled merchants and/or an online merchant, who accepts Apple Pay as a form of payment.
To add your Tevau Pay Card to Apple Pay, you must register your Tevau Pay Card through Apple Pay via Tevau Pay's application or by directly scanning or entering the Tevau Pay Card details manually on Apple Pay wallet ("Apple Pay Card Registration"). You may be required to take additional steps to authenticate yourself before your Tevau Pay Card is added to Apple Pay, including providing the correct one-time password ("OTP") which will be sent to you by us via SMS on your registered mobile number with us ("Additional Authentication"). Your enrolment will be declined if the Tevau Pay Card is not eligible for this service, you failed the authentication process, or if your Tevau Pay Card or the underlying Card Account is not in good standing or conducted in a proper or satisfactory manner as determined by us at our absolute discretion. Apple Pay may also limit the number of Tevau Pay Cards that you may store in a single Apple Device from time to time which we cannot control. We may, however, limit the number of Apple Devices in which the same Tevau Pay Card can be stored from time to time and you should refer to our latest communications regarding such limit.
For a Program Account which contains the issuance of multiple Tevau Pay Cards, each Tevau Pay Card shall be regarded as separate, and thus be subject to a separate Apple Pay Card Registration and Additional Authentication individually.
By adding your Tevau Pay Card to Apple Pay, a unique numerical identifier different from your Tevau Pay Card number ("Device Card Number") will be allocated for the purpose of making purchases and receiving refunds through Apple Pay. Due to the manner in which Apple Pay operates, you may need to present your Apple Device at a merchant when you return an item purchased using Apple Pay on such Apple Device.
Once a Tevau Pay Card is added to Apple Pay, you can use Apple Pay to authorise transactions on a Card Account. This is done by using the relevant Apple Device in place of a Tevau Pay Card at a contactless payment terminal or in an application on an Apple Device.
Renewal of your Tevau Pay Card upon expiry or replacement of the damaged Tevau Pay Card will not affect your use of the same Tevau Pay Card enrolled for Apple Pay, whether or not you have activated the renewed or replacement Tevau Pay Card.
You must register and add your Tevau Pay Card to Apple Pay in person. It is strictly prohibited for any third party, including but not limited to any agent, intermediary, representative, or other person, to register, add, or enrol a Tevau Pay Card to Apple Pay on your behalf. Without limiting the generality of the foregoing:
(a) You must personally complete all identity verification procedures, including providing your own Personal Data, identification documents, and biometric information (where applicable), and personally completing the Apple Pay Card Registration and any Additional Authentication required;
(b) No person shall use another individual's Personal Data, identification documents, Tevau Pay Card details, or any other information to register or add a Tevau Pay Card to Apple Pay without that individual personally participating in the registration and verification process;
(c) Any agent, intermediary, or other third party is expressly prohibited from completing Apple Pay Card Registration, Additional Authentication, or any other enrolment steps on behalf of any prospective or existing cardholder.
Ongoing Verification. We reserve the right to conduct ongoing identity verification at any time during the term of your use of Tevau Pay Card through Apple Pay, including but not limited to:
(a) requiring you to re-submit identification documents or provide additional Personal Data;
(b) requiring you to complete real-time identity verification through video call, biometric authentication, or other means as we may determine;
(c) cross-referencing your account activity, login records, Apple Device information, and behavioural patterns against the identity information on file to detect any anomalies or inconsistencies;
(d) requesting you to confirm your identity in person at a designated location if we consider it necessary.
You shall cooperate with any such verification requests promptly. Failure to comply with a verification request within the timeframe specified by us shall constitute grounds for suspension or termination of your ability to use your Tevau Pay Card through Apple Pay.
Consequences of Third-Party Enrolment. Where we detect or reasonably suspect that a Tevau Pay Card has been registered, added, or is being used through Apple Pay by a third party in violation of these Terms, we shall be entitled, at our sole discretion and without prior notice, to take any one or more of the following actions:
(a) immediately suspend or remove the Tevau Pay Card from Apple Pay and restrict all associated services;
(b) freeze any funds, digital assets, or balances held in the Card Account or Digital Wallet pending investigation;
(c) terminate the Card Account permanently and cancel all related Tevau Pay Cards and services;
(d) refuse to process any pending or future transactions;
(e) report the matter to the relevant regulatory, law enforcement, or judicial authorities in any applicable jurisdiction;
(f) retain all Personal Data and transaction records related to the suspected violation for the purpose of investigation, legal proceedings, or regulatory compliance;
(g) pursue legal action against any person involved in the third-party enrolment, including claims for damages, losses, and costs incurred by us.
You shall be solely responsible for any and all losses, liabilities, claims, penalties, or legal consequences arising from any third-party enrolment or use of your Tevau Pay Card through Apple Pay conducted in violation of this provision. We shall not be liable for any losses resulting from the exercise of our rights under this section.
You must keep your Apple Device safe or secure, by locking it when not in use or when it is unattended and/or by installing up-to-date anti-malware or anti-virus software on it (wherever applicable), including ensuring that the device is not modified contrary to the software or hardware guidelines of the manufacturer or intentionally disabling the device's hardware or software controls (commonly referred to as "jailbreaking"). You acknowledge and agree that the use of a modified device to use your Tevau Pay Card in connection with Apple Pay is expressly prohibited and constitutes a violation of these Terms, and is grounds for us to deny your access to your Tevau Pay Card through Apple Pay.
You must also ensure that your passcode or personal identification number that is required to allow you to use your Apple Device to access and use your Tevau Pay Cards to make purchases through Apple Pay is kept secure in the same way as a cardholder would for a banking password or PIN, including but not limited to, by:
Not disclosing or sharing to anyone;
Not carrying a record of it with an Apple Device or anything liable to be stolen with an Apple Device (unless a reasonable effort is made to protect the security of the device);
Not choosing an easily guessable passcode such as the cardholder's date of birth or a recognisable part of the cardholder's name; and
Not acting with negligence in failing to protect the security of the passcode.
You must take all steps to prevent any fraud, loss or theft in respect of your Apple Device or any of your Tevau Pay Card in connection with the use of Apple Pay.
If biometric identifiers are registered on your Apple Device and are used to identify you or used to grant access to and use your Tevau Pay Card for Apple Pay, you must not save a third party's biometrics such as fingerprint (biometric information) on the device. In the event a third party's biometrics are saved on the device, whether now or in the future, and such biometric details can be used to grant access to the device to access and use your Tevau Pay Card, you understand, acknowledge and agree that you will be taken to have authorised that person to transact on your behalf and the relevant transactions will be charged to your Tevau Pay Card, to which you shall be responsible and liable for the same.
If you enrol for biometric verification such as fingerprint identity ("Touch ID"), personal identification number or passcode on Apple Pay, the collection, storage, enrolment and access to Apple Pay using your biometric information, personal identification number or passcode will be made using the technology on your Apple Device. Accordingly, when you log into Apple Pay and choose to be verified using the technology on your Apple Device, your fingerprint or any other biometric information, personal identification number or passcode will be matched and verified against your device's technology. Accordingly, you acknowledge that we have no control over the technology on the Apple Device, the availability, capability, verification method, security and integrity of the Apple Device and cannot be held responsible for transactions effected using Apple Pay and authorized using any biometric information or personal identification number or passcode. You should therefore assess if the Apple Device's manner of verification and risks associated with such use are acceptable to you.
The use of Apple Pay is at your own discretion. You are not obliged to use Apple Pay in connection with any of your Tevau Pay Cards. Accordingly, you agree that the access and use of your Tevau Pay Card on Apple Pay will be considered as authorized by you and you shall be responsible and liable for the same. If you share your passcode with any other person, you are taken to have authorized that person to transact on your account using Apple Pay. This means that any Apple Pay transaction initiated by that person using the fingerprint or passcode will be authorized by you and the clauses of the Agreement which deal with unauthorized transactions will not apply. If your Apple Device is lost or stolen, any biometric information or personal identification number or other passcode is compromised or used or your Tevau Pay Card has been used through Apple Pay without your permission, you must notify us immediately and if we so require, furnish to us a statutory declaration in such form as we specify and/or a police report and/or any other information we may reasonably require. You are liable for all unauthorized use of your Tevau Pay Card in connection with Apple Pay until you notify us unless we determine, at our sole discretion that: (i) you have fully complied with these Terms (including, but not limited to the safety precautions) and you notified us without delay, (ii) you assist in the investigations and recovery, and (iii) we are satisfied that such unauthorized transactions are not due to your wilful misconduct and/or gross negligence and that you have not acted fraudulently.
You agree and acknowledge that the transaction history displayed in Apple Pay in connection with the use of your Tevau Pay Card in Apple Pay solely represents our authorization of your Apple Pay transaction using that particular Apple Device and does not reflect any post authorization activity, including but not limited to clearing, settlement, foreign currency exchange, refunds, returns or chargebacks.
Accordingly, the purchase amount, currency, and other details for your Apple Pay transaction history in connection with use of your Tevau Pay Card in Apple Pay may not match the transaction amount that is ultimately cleared, settled, and posted to your Tevau Pay Card statement of account. If there is any inconsistency between your Tevau Pay Card statement of account and transaction history displayed in Apple Pay, your Tevau Pay Card statement of account shall prevail, and you will remain liable to us for the amounts set out on your statements.
All applicable fees, interest and charges that apply to your Tevau Pay Card pursuant to the Agreement are available and provided on our website and will continue to apply after you have registered your Tevau Pay Card with Apple Pay. We currently do not impose any additional fees for using your Tevau Pay Card through Apple Pay but we reserve the right to impose a fee at our sole discretion in the future. You shall be solely responsible for all third-party charges, such as your telecommunications carrier or provider may impose web-enablement, data usage or text messaging fees and/or other charges associated with your use of Apple Pay.
As a condition of using your Tevau Pay Card in connection with Apple Pay, you acknowledge and consent to us sending notifications and automatically dialled calls or text messages to the Apple Device which may or may not be the same device as your mobile phone number on record with us.
We have the right to suspend, block or cancel your ability to use your Tevau Pay Card in connection with Apple Pay at any time and need not give you any prior notice or reason for doing so, including modifying or suspending the type of transactions allowed on your Tevau Pay Card in connection with Apple Pay, changing the eligibility of a Tevau Pay Card for use with Apple Pay, and/or changing the Tevau Pay Card authentication process.
We also have the right to impose a limit on any daily and/or individual transaction amount(s) charged to your Tevau Pay Card through Apple Pay. The limit will be at such amount(s) as determined by us and notified to you from time to time.
In the event we have cancelled or suspended your Tevau Pay Card in accordance with these Terms and/or the terms of the Agreement, you will not be allowed to use it through your Apple Device. Please note that this is the case even though you may still see a symbol for the Tevau Pay Card on your Apple Device.
You agree that we may collect, transmit, store, and use technical, location, and login or other information about you and your use of your Tevau Pay Card through Apple Pay. We may also collect information relating to your Apple Device (including app version, device type and model, operating system and security information such as whether you have obtained root access):
* To ensure your Tevau Pay Card properly functions in Apple Pay;
* For security purposes and to identify fraud;
* For Tevau Pay to better provide assistance to you; and
* To tell you about other products or services that may be of interest to you.
You acknowledge that (i) Apple, the provider of Apple Pay technology that supports your Tevau Pay Card in Apple Pay, as well as its subcontractors, agents, and affiliates, and (ii) the applicable payment network branded on your Tevau Pay Card (i.e., Visa) as well as subcontractors, agents, and affiliates of such payment networks, will have access to certain details of your transactions made with merchants via use of your Tevau Pay Card through Apple Pay in and/or for the purposes of (1) performing its obligations hereunder; (2) providing you with relevant transaction data; (3) detecting and addressing fraud; (4) complying with applicable laws and regulations; (5) responding to inquiries made pursuant to court orders or by regulators; (6) managing, making product enhancement to, and/or promoting the use of Apple Pay; and (7) creating business and/or technical performance reporting. You acknowledge that the use, storage and disclosure of any personal information provided by you directly to Apple, the applicable payment network branded on your Tevau Pay Card (i.e., Visa), or other third parties supporting Apple Pay, will be governed by the privacy policy of such party.
Merchants may present to you certain discounts, rebates or other benefits (e.g. free shipping) ("Offers") if payment is effected through Apple Pay. Such Offers are subject to certain terms and conditions between you and the relevant merchant. We will not be liable for any loss or damage as a result of any interaction between you and a merchant with respect to such Offers. All matters, including delivery of goods and services, returns, and warranties, are solely between you and the applicable merchants. You acknowledge that we do not endorse or warrant the merchants that are accessible through Apple Pay or the Offers that they provide.
We may amend at any time these Terms, by providing reasonable prior notice to you. We may revise these Terms at any time by updating this posting. You are bound by such revisions and should therefore visit our website to review the current Terms from time to time.
All intellectual property rights including all patents, trade secrets, copyrights, trademarks and moral rights (collectively, "Intellectual Property Rights") in Apple Pay (including text, graphics, software, photographs and other images, videos, sound, trademarks and logos) are owned either by Apple, us, our licensors or third parties. Nothing in these Terms gives you any rights in respect of any intellectual property owned by Apple, us, our licensors or third parties and you acknowledge that you do not acquire any ownership rights by adding your Tevau Pay Card to, or using your Tevau Pay Card in connection with, Apple Pay.
Apple, Apple Pay are trademarks of Apple Inc., registered in the U.S. and other countries and regions.
Apple Pay is provided by Apple, and without warranty from us. You acknowledge and agree that from time to time, your use of the Tevau Pay Card in connection with Apple Pay may be delayed, interrupted or disrupted for an unknown period of time for reasons we cannot control. Neither we nor our affiliates will be liable for any claim arising from or related to use of your Tevau Pay Card through Apple Pay due to such delay, interruption, disruption or similar failure.
You acknowledge that we are not party to the terms and conditions for Apple Pay between you and Apple and we do not own and are not responsible for Apple Pay. We are not providing any warranty for Apple Pay. We are not responsible for the performance, maintenance or other support services for Apple Pay and shall not be responsible for any other claims, losses, liabilities, damages, costs or expenses with respect to Apple Pay, including, without limitation, any third party product liability claims, claims that Apple Pay fails to conform to any applicable legal or regulatory requirement, claims arising under consumer protection or similar legislation, and claims with respect to intellectual property infringement. Any inquiries or complaints relating to the use of Apple Pay, including those pertaining to Intellectual Property Rights, should be directed to Apple.
We do not recommend, endorse or make any representation or warranty of any kind regarding the performance or operation of your Apple Device. You are responsible for the selection of an Apple Device and for all issues relating to the operation, performance and costs associated with such Apple Device.
To the maximum extent permitted by applicable law, in no event shall we, our processors, suppliers, or licensors (or their respective affiliates, agents, directors, and employees) be liable for any direct, indirect, punitive, incidental, special, consequential, or exemplary damages, including without limitation damages for loss of profits, goodwill, use, data, or other Intangible losses, that result from the use of, inability to use, or unavailability of Apple Pay, including your use of Tevau Pay Card in connection with Apple Pay.
To the maximum extent permitted by applicable law, we, our processors, suppliers, and licensors (and their respective affiliates, agents, directors, and employees) assume no liability or responsibility for any (i) errors, mistakes, or inaccuracies of content; (ii) personal injury or property damage, of any nature whatsoever, resulting from your access to or use of Apple Pay, including your use of your card in connection with Apple Pay; (iii) any interruption or cessation of transmission to or from Apple Pay; (iv) any bugs, viruses, Trojan horses, or the like that may be transmitted to or through Apple Pay by any third party; (v) any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content posted, emailed, transmitted, or otherwise made available through Apple Pay; and/or (vi) user content or the defamatory, offensive, or illegal conduct of any third party.
You will indemnify, defend, and hold us (and our employees, directors, agents, affiliates and representatives) harmless from and against any and all claims, costs, losses, damages, judgments, tax assessments, penalties, interest, and expenses (including reasonable attorneys' fees) arising out of any claim, action, audit, investigation, inquiry, or other proceeding instituted by a person or entity that arises out of or relates to: (a) any actual or alleged breach of your representations, warranties, or obligations set forth in these Terms, including any violation of our policies; (b) your wrongful or improper use of Apple Pay, including wilful misconduct or fraud; (c) your violation of any third-party right, including without limitation any right of privacy, publicity rights or Intellectual Property Rights; (d) your violation of any law, rule or regulation of Hong Kong or any other country; (e) any access or use of Apple Pay by any other party with your Touch ID or personal identification number or passcode or other appropriate security code, and (f) any change in law, regulations, guidelines or official directive or circulars which has an effect on the Tevau Pay Card or Apple Pay, and the same may be debited to your Tevau Pay Card and/or shall be paid by you on demand.
You represent and warrant to us that: (i) to the extent you identified a name at registration, the name identified by you when you registered your Tevau Pay Card to be added to Apple Pay is your name; (ii) you are the cardholder of all Tevau Pay Cards you add to Apple Pay; (iii) you and all transactions initiated by you or using any of the Tevau Pay Cards added to Apple Pay will comply with all laws, rules, and regulations applicable to you, including any applicable tax laws and regulations; (iv) you have the authority to authorize the receipt of notices, calls and text messages from us at the phone number you provide; (v) you will not use any of your Tevau Pay Card through Apple Pay for any fraudulent undertaking or in any manner so as to interfere with the operation of Apple Pay; (vi) you will not permit any use of your Tevau Pay Card through Apple Pay by any third party; and (vii) your use of your Tevau Pay Card in connection with Apple Pay will comply with these Terms.
You shall follow the instructions from Apple Pay to remove your Tevau Pay Card from Apple Pay if you no longer wish to use your Tevau Pay Card through Apple Pay. You should also ensure that any Tevau Pay Card is removed from your Apple Device before the disposal of such Apple Device. Removal of your Tevau Pay Card from Apple Pay will not terminate your Tevau Pay Card unless you also choose to terminate such in accordance with the terms of the Agreement.
If any provision or part of a provision of these Terms is illegal, invalid or unenforceable, it will be severed from these Terms and the remaining provisions (or parts of provisions) will continue in full force and effect.
The same laws that govern the Agreement shall govern these Terms.
In these Terms, all capitalised words or expressions used shall be defined and carry the same meaning as stated in the Definition section of the Tevau Pay Card Program Account Agreement ("Agreement") except for the following words defined below:
"Apple Device" means any device that supports any of the operating systems released by Apple (e.g., iOS, MacOS, watchOS etc.), which Tevau Pay determines, at its sole discretion, is eligible for the registration of Tevau Pay Card to be used in Apple Pay. Any device that is modified contrary to the software or hardware guidelines of the manufacturer, including by disabling hardware or software controls (commonly referred to as "jailbreaking"), are not eligible for the registration of Tevau Pay Card to be used in Apple Pay.
"Apple Pay" means the mobile payment and digital wallet service created by Apple that lets users make payments using certain devices which support the operating systems released by Apple and credit cards or debit cards registered on such Apple Devices.
"Tevau Pay", "we" or "us" means Tevau Technology Limited and its subsidiaries.
"You" means the Company of the Program Account related to the Tevau Pay Card which has been added to the Apple Pay digital wallet on any Apple Device and, as the context requires, includes any relevant Authorized User.
